Total download of 4 Go of data resolve the problem ;-))
First you have to download visual studio 2005 (2800 Mo),90 days trial :

then Windows Mobile 5.0 Developer Resource Kit (900 Mo):

then Windows Mobile 5.0 Pocket PC SDK (180
Mo):

And finally Localized Windows Mobile 5.0 Pocket PC Emulator Images (90
Mo):
http://www.microsoft.com/downloads/details.aspx?familyid=EEC33AE3-C129-4C25-ABAA-18E8E842178F&displaylang=en
the final touch is activesync for pc connection :
http://www.microsoft.com/windowsmobile/activesync/activesync42.mspx
After installation all of that , you'll find the emulator at "C:\Program
Files\Microsoft Device Emulator\1.0\dvcemumanager.exe"
Or by the tools caption in Visual studio.
Don't forget to set in the connection setting of Activesync : 'Allow acces of the following to :"DMA"
Et voila,it work and if you lanch the emulator , you just have to select an image and doing 'connect' to see the pocket pc and 'cradle' to have some network support.
