OK, I've worked it out.

One of the notes is encrypted. That causes it to fail.

Two things from that - Unticking "Encrypted" and saving does NOT save  
the file unencrypted like it should.

When I removed the encrypted file the applications syncs! :)

So there is an issue with it handling encrypted Notes.
